Secretary resigned, now reinstating themself

Hello Nigel,
Our company secretary resigned last month, The treasurer and president confirmed and accepted the resignation in writing. Today we have been informed by this person that he had reinstated himself, because we never had a committee meeting before writing our reply.
We feel this man will now have to wait until our AGM in November to be reinstated.
Is this correct or can he reinstate himself?

I'm sorry, I can't answer your question - this will be subject to company law of which I know nothing.

I suggest you ask your lawyer.
